Our practice is organized into three main categories of client engagements.

  • Ongoing Retainer / Advisory Board Relationships
    • About a third of our business consists of retained advisory work – CEOs that have retained ST Advisors to act, in effect, as a shadow board member or "consigliere". As ST Advisors has no need to promote a specific agenda, our goal is simply to provide Outsider Perspective With Insider Knowledge® – unbiased and honest opinions. When clients ask for critical advice, an introduction or our participation in a key meeting, it is clear our mission has been achieved.   • Transaction Support
    • Banker Selection, Transaction Preparation and Support — While transactions are not the core of ST Advisors’ mission, we can add significant value to a sale or capital raise process by anticipating issues before a process begins, helping to select the right banker, and working with the deal team on marketing materials, buyer list development, and management presentation and preparation. Our primary role is to act as an advocate for the management team during the funding process, so our first commitment is one of honesty regarding value, suitors, timing, risks or terms.     • Pre-Transaction Positioning — Senior management teams have robust experience selling their companies' products or services to potential clients, but the art of communicating a company's value to a banker or prospective strategic or financial acquirer is significantly different. This is where ST Advisors can help. We excel at learning complex stories and explaining them effectively and concisely in terms geared for bankers and potential buyers. As part of this type of engagement, ST Advisors spends time with company management learning the company's offerings, value drivers and growth opportunities. We then work with the management team to develop or enhance the client's management presentations or information memorandums prior to a contemplated sale or capital raise.
  • Project-Based Engagements
    • Business Development — As companies look to expand, ST makes an outstanding partner. Our years of industry experience enable us to identify and connect companies with partner and acquisition candidates that have the best strategic and overall fit with their business and goals.
    • Strategic Analysis — ST Advisors' depth and breadth of healthcare knowledge can help as companies complete corporate and product-level strategic planning. ST Advisors can assist you in evaluating market size, trends and opportunities, as well as competitive dynamics and offerings as you progress through your planning process.
    • Strategic Assessment or Diagnostic — Companies often benefit from our Outsider Perspective with Insider Knowledge® as they seek to validate their perception of the landscape and/or potential M&A targets. Others also look to us for advice on strategic alternatives around an exit or liquidity path. These engagements, typically lasting one to three days have also involved participating in management off-sites or board retreats.
    • Acquisition / Investment Analysis — Venture funds, private equity investors and strategic buyers often need help in assessing a potential acquisition or investment. They want to know if the target's plan makes sense, how to position the investment to their board and other questions that ST Advisors can help answer. Our industry tenure, sector breadth and strategic perspective enable us to add significant value when reviewing business plans, attending management presentations and participating alongside the deal team.
